Smart Connection Est. (B Smart Med) Terms and Conditions of Use PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE REGISTER. Smart Connection Est. (B Smart Med) operates as an Information technology company that provides a solution specialized in managing the connections, appointment, and online meetings services between Health Care Practitioners with their vendors. The following terms and conditions shall be acknowledged and followed by the users. The user is fully accountable for any legal consequences resulting from failure to comply with terms and conditions. This includes all incidents of intentionally or unintentionally violation of terms and conditions: 1. Terms By downloading, accessing or using the B Smart Med website & application, these terms will automatically apply to you – you should make sure therefore that you read them carefully before using the app. you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, do not use this site & applications. The materials contained in this website & application are protected by applicable copyright and trademark law. B Smart Med may revise and update these Terms and Conditions at any time. Your continued usage of the B Smart Med applications or site will mean you accept those changes. I understand that smart connection (B Smart Med) reserves the right to limit or discontinue my use of the account services if I do not abide by these terms and conditions 2. Use License SMART Connection (B Smart Med) considers the privacy of user personal information to be one of the most important elements in our relationship with him/her. Our responsibility to maintain the confidentiality of user personal information is one that we take very seriously. We are required by law to maintain the privacy and security of user protected personal information. We will let the user know promptly if a breach occurs that may have compromised the privacy or security of user information. We will not use or share user information other than as described in the contract. Except as expressly provided in the contract, Services may only be used by individuals who sign-up for the use of B Smart Med services To further protect the confidentiality, integrity, and availability of the information housed and shared on B Smart Med, as well as the stability of our Services, users agree to the following additional safeguards. Accordingly, you agree that: a. You’re not allowed to copy or modify the app, any part of the app, or our trademarks in any way. You’re not allowed to attempt to extract the source code of the app, and you also shouldn’t try to translate the app into other languages or make derivative versions. The app itself, and all the trademarks, copyright, database rights, and other intellectual property rights related to it, still belong to Smart Connection. This is the grant of a license, not a transfer of title, and under this license, you may not: i. sell, transfer, modify or copy the materials or information on S Mart Med website or application– including by sending, or facilitating the sending of, unsolicited emails or SPAM. ii. use the materials for any commercial purpose, or for any public display (commercial or non-commercial); iii. attempt to decompile or reverse engineer any software contained on S Mart Med website or application; iv. remove any copyright or other proprietary notations from the materials; or v. transfer the materials to another person or "mirror" the materials on any other server. vi. probe, scan or test the vulnerability of our Services, or of the system or network supporting our Services, or circumvent any security or authentication measures; vii. disable, bypass, defeat, avoid, remove, deactivate, or otherwise circumvent any technical measures we have implemented to safeguard the stability of our Services, or the confidentiality, integrity, or availability of any information, content, or data hosted or housed on our Services; viii. introduce to our Services any software, code, or other devices that in any way (i) permits unauthorized access to our systems or any software, hardware, files or data located thereon, (ii) disables or damages or otherwise interferes with or adversely affects the operation of our systems or any software, hardware, files or data located thereon, or (iii) overburdens or interferes with the proper functioning of our Services; ix. harvest, retrieve, index or publish any portion of our Services unless you are a Public Search Engine engaging in Public Search Services; x. disable or circumvent our API usage safeguards, including safeguards designed to regulate the nature or amount of data you are permitted to extract from our Services, or the frequency of which you may access such data; or make calls to our API other than those authorized in our API documentation; xi. engage in any activity other than those expressly permitted in these Terms and your User Agreement(s) b. This license shall automatically terminate if you violate any of these restrictions and may be terminated by Smart Connection at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format. c. The B Smart Med app stores and processes personal data that you have provided to us, in order to provide our Service. It’s your responsibility to keep your device and access to the app secure. We therefore recommend that you do not jailbreak or root your device, which is the process of removing software restrictions and limitations imposed by the official operating system of your device. It could make your device vulnerable to malware/viruses/malicious programs, compromise your device’s security features and it could mean that the B Smart Med app won’t work properly or at all. 3. Disclaimer a. The materials on S Mart Med website or application are provided on an 'as is' basis. Smart Connection makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. b. Further, Smart Connection does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website/App. or otherwise relating to such materials or on any sites linked to this site. 4. Limitations In no event shall Smart Connection or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit or connection, or due to business interruption) arising out of the use or inability to use the materials on S Mart Med website or application, even if Smart Connection or a Smart Connection authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you. You should be aware that there are certain things that Smart Connection will not take responsibility for. Certain functions of the app will require the app to have an active internet connection. The connection can be Wi-Fi or provided by your mobile network provider, but Smart Connection cannot take responsibility for the app not working at full functionality if you don’t have access to Wi-Fi, and you don’t have any of your data allowance left. If you’re using the app outside of an area with Wi-Fi, you should remember that your terms of the agreement with your mobile network provider will still apply. As a result, you may be charged by your mobile provider for the cost of data for the duration of the connection while accessing the app, or other third-party charges. In using the app, you’re accepting responsibility for any such charges, including roaming data charges if you use the app outside of your home territory (i.e. region or country) without turning off data roaming. If you are not the bill payer for the device on which you’re using the app, please be aware that we assume that you have received permission from the bill payer for using the app. Along the same lines, Smart Connection cannot always take responsibility for the way you use the app i.e. You need to make sure that your device stays charged – if it runs out of battery and you can’t turn it on to avail the Service, Smart Connection cannot accept responsibility. 5. Accuracy of materials The materials appearing on S Mart Med website or application could include technical, typographical, or photographic errors. Smart Connection does not warrant that any of the materials on its website are accurate, complete, or current. Smart Connection may make changes to the materials contained on its website at any time without notice. However, Smart Connection does not make any commitment to update the materials. 6. Our Services 9.1 Protected Services Our Services are protected by technical measures intended to safeguard the confidentiality, integrity, and accessibility of personal information our users store and share using our Services. The company has the full right to delete or suspend any account belonging to users who fail to prove that they are licensed healthcare professionals or belonging to healthcare facilities. All personal information submitted for the purpose of creating an account should be accurate and valid. This includes name, address, telephone number, emails, registration number, country of residency...etc. For the purpose of authentication and validation of information, the App/Platform will request from users to submit proof of their medical background and/or their licensure to practice medicine or related education in their country of residency. Failure to submit these documentations might result in deleting or suspending the account. These data are completely private and secured and we hereby guarantee so. Healthcare providers are the owner of the data and by clicking “I agree” or like you give the companies the right to communicate with you through your account on the application. 9.2 Video calls; Ratings; Surveys; Comments; User-Submitted Content SMART Connection (B SMART MED) Services allow you to access video calls, message boards, surveys, and other forums where various users can share information, opinions, ratings, and other Content. We generally do not pre-screen or monitor user-submitted Content, and such Content may simply represent a user’s opinion or Content a user finds interesting. Our Services may also include survey results, ratings, or testimonials “Evaluations” from customers “Doctors” or other healthcare providers that may endorse, recommend, critique, analyze, evaluate, or otherwise describe the callers “sales representatives “and the nature or quality of the services received. Such Evaluations do not in any way constitute or imply our endorsement or recommendation of any company. Further, Evaluations are subject to errors and biases that are common in anecdotal first- hand accounts, and should not be presumed to be reliable or error-free. 10. User Registration and Passwords. 10.1. User Registration To access our services, you will need to download our app. then register and create an account. Your account gives access to the Services and functionality that we may establish and maintain from time to time and in our sole discretion. In creating an account, you must provide accurate and complete registration information, as prompted in the registration form. You must promptly update your information if any of this information changes. If you fail to provide or update this information, you will not be able to reach & gain the application benefits. 10.2. When you open your account, you will be asked to choose a password. you must keep your password confidential. you will be responsible for all use of your password and account, including, without limitation, any use by any unauthorized third party. You must notify Admin immediately if you believe your password or account has been obtained or may be accessed or used by any unauthorized person or entity. By registering as a User and providing contact information, you consent to our using the information to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. We may also use your contact information to send you other messages, including changes to features of the Services, advertisements, surveys, and special offers. Verification of Identity User enrolment is contingent on verification of his identity by the healthcare provider admin. 12. Deactivation of user Account Your account may be deactivated upon your request or through healthcare provider admin or at the discretion of B Smart Med for failure to meet these Terms and Conditions. 13. Account Security You are responsible for safeguarding the password that you use to access the Services and you agree not to disclose your password to any third party. you are responsible for any activity using your account, whether or not you authorized that activity. you should immediately notify the admin of any unauthorized use of your account. 14. Assignment We may freely assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise. 15. Amendments We may update or change our Services or the provisions set forth in these Terms from time to time and recommend that you review these Terms on a regular basis. You understand and agree that your continued use of our Services after these Terms have been updated or changed constitutes your acceptance of the revised Terms. Hereby, any use of App/Platform inappropriate languages, videos, pictures, links, and symbols that might carry any hostile, sexual, or promoting hatred, disrespect and inequality against races, genders, or nationalities shall be resulting in cancelation or suspension of your account. In addition, legal measurements might be taken against the violation. 16.3 By signing on the agree/submit checkbox, you have recognized that B Smart Med is not responsible for the accuracy of clinical information generated by third parties using B Smart Med. This includes information submitted by pharmaceutical / medical companies and/or healthcare professionals using the App/Platform. 16.4 By signing on the agree/submit checkbox, you have recognized that the authentication of any information provided by you is your responsibility and not Smart Connection (B SMART MED). 17. Governing Law These terms and conditions are governed by and construed in accordance with the laws of Saudi Arabia and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location. 18.
